Pricing & Payment Terms
All prices are indicative and subject to confirmation at the time of order. The following payment terms apply:

- All international payments must be made in USD (US Dollars) unless otherwise agreed in writing.
- Bank charges, wire transfer fees, and LC charges are to be borne by the respective parties as per international banking norms.
- JMB Agro reserves the right to cancel an order if payment is not received within the agreed timeline.
- GST and other applicable taxes will be charged separately for domestic orders as per current Indian tax laws.
Order Confirmation & Cancellation
- Orders are confirmed only after receipt of advance payment or LC as per agreed terms.
- Once production or processing has commenced, orders cannot be cancelled without JMB Agro’s written consent.
- In case of buyer-initiated cancellation after production has begun, JMB Agro reserves the right to forfeit the advance payment to cover costs incurred.
- JMB Agro may cancel or postpone an order in case of force majeure events, raw material unavailability, or government restrictions, with immediate notice to the buyer.
- Any changes to the order (quantity, variety, packaging) must be communicated in writing at least 7 days before the scheduled production date.
Quality Assurance & Inspection
- All rice products are quality-checked at JMB Agro’s in-house testing laboratory before dispatch, ensuring compliance with agreed specifications.
- JMB Agro provides a Quality Certificate and Fumigation Certificate with every shipment.
- Pre-shipment inspection by a third-party inspection agency (e.g., SGS, Bureau Veritas) can be arranged at the buyer’s cost, if requested in writing before production.
- Quality claims, if any, must be raised within 7 days of receipt of goods at the destination port, supported by an independent survey report.
- JMB Agro’s liability in case of a genuine quality dispute is limited to replacement of the defective quantity or a proportionate credit note, at JMB Agro’s discretion.
- No claims will be entertained after goods have been processed, blended, or re-packed by the buyer.
Delivery & Risk Transfer
- Delivery terms (FOB, CIF, CFR, EXW) are as agreed in the Proforma Invoice / Sales Contract and governed by Incoterms 2020.
- Risk of loss or damage to goods transfers from JMB Agro to the buyer as per the agreed Incoterm.
- JMB Agro is not responsible for delays caused by shipping lines, port congestion, customs holds, or any other factors beyond our control after goods have been handed over to the freight forwarder.
- Delivery timelines are estimates and may vary during peak harvest season or due to logistical constraints.
Refund Policy
JMB Agro’s business is primarily B2B export-oriented. Refunds are governed by the following:
- Advance payments are non-refundable once production or procurement has commenced.
- In case of shipment cancellation due to JMB Agro’s fault (e.g., inability to supply), a full refund of advance payment will be processed within 15 working days.
- Quality-related refunds or credits are subject to inspection and mutual agreement as outlined in Section 6.
- No refunds are applicable for price fluctuations in the market after order confirmation.
- Refunds, if applicable, will be processed via the same payment method used by the buyer.
Confidentiality
- Both parties agree to keep confidential all pricing, contractual terms, trade secrets, and business information shared during the course of business.
- Buyers shall not share JMB Agro’s pricing, product formulations, or business terms with third parties without written consent.
- This confidentiality obligation survives termination of the business relationship for a period of 3 years.
Export Compliance
- JMB Agro complies with all applicable Indian export regulations, APEDA guidelines, FSSAI norms, and international food safety standards.
- The buyer is solely responsible for ensuring that the import of JMB Agro’s products complies with their country’s laws, regulations, and import restrictions.
- JMB Agro shall not be liable for any penalties, seizures, or losses arising from the buyer’s failure to comply with their local import regulations.
- Any product certification requirements specific to the destination country (e.g., SFDA for Saudi Arabia, USFDA for USA) must be communicated to JMB Agro at the time of order placement.
Limitation of Liability
- JMB Agro’s total liability in connection with any order or transaction shall not exceed the invoice value of the goods supplied under that specific order.
- JMB Agro shall not be liable for any indirect, consequential, incidental, or punitive damages including loss of profit, business interruption, or loss of market.
- JMB Agro is not liable for any claims arising from the buyer’s misuse, improper storage, or incorrect handling of the products after delivery.
Force Majeure
Neither party shall be held liable for failure to perform its obligations due to events beyond reasonable control, including but not limited to natural disasters, floods, earthquakes, pandemics, government export bans, port strikes, war, or civil unrest. The affected party must notify the other within 48 hours of the occurrence of a force majeure event and both parties shall make reasonable efforts to resume performance as soon as possible.
Dispute Resolution
- In case of any dispute arising from these Terms or any business transaction, both parties shall first attempt to resolve the matter amicably through good-faith negotiations within 30 days.
- If the dispute cannot be resolved amicably, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India).
- The seat of arbitration shall be Karnal, Haryana, India.
- The language of arbitration shall be English.
- The decision of the arbitrator shall be final and binding on both parties.
Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Karnal, Haryana, India.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
Entire Agreement
These Terms, together with the Proforma Invoice, Sales Contract, and any other written agreements between the parties, constitute the entire agreement between JMB Agro and the buyer. They supersede all prior discussions, representations, or agreements, whether oral or written.
